Şirketler topluluğunda denkleştirme

Türk Ticaret Kanunu’nun yeni düzenlemelerinden biri olan şirketler topluluğuna ilişkin hükümler arasında, hakim şirket tarafından bağlı şirkete verilen kaybın denkleştirilmesiyle ilgili m. 202/I önem taşımaktadır. Böylece bir yandan, hakim şirketin sorumluluğunun doğması engellenmekte, diğer yandan bağlı şirketin, dolayısıyla bağlı şirket pay sahiplerinin hakları korunmaktadır. Bu çalışma kapsamında hakim şirketin hakimiyetini hukuka aykırı şekilde kullanması sonucu ortaya çıkan kaybı denkleştirme yükümlülüğü incelenmiştir.

Corporate Groups is one of the new concepts introduced in the Turkish Commercial Code. Among the articles related to Corporate Groups in the TCC, the article (Art. 202/I) regarding the balancing of the disadvantages that the subsidiary faces by the actions of the (controlling) parent company has a vital importance. With the article 202/I, not only the liability of the parent company is prevented, but also the rights of the subsidiary shareholders are protected. In this study, the obligation of the parent company to balance the disadvantages of the subsidiary which arises because of unlawful exercise of control against the subsidiary is analyzed.
